NOTICE
on the initiation of the qualification procedure for a Member of the Board of Directors of PGE Sweden AB, with its registered office in Stockholm
The General Meeting of PGE Sweden AB, Stockholm, acting on the basis of Resolution No. 3 dated August 29, 2025, announces the qualification procedure for a Member of the Board of Directors acting as Managing Director (hereinafter: The "Member of the Board") of PGE Sweden AB (hereinafter also referred to as: "the Company") to be conducted by a selection committee appointed by a resolution of the Company's General Meeting.
- A candidate for a Member of the Board may be a person who meets all of the following conditions:
- has a university degree;
- has at least 5-years’ employment under the contract of employment, appointment, election, cooperative employment contract or provision of services under another contract, or self-employment;
- has at least 3 years' experience in a managerial or independent position or in self-employment;
- The following persons may not be candidates for a Member of the Board:
- whose social or gainful activity gives rise to a conflict of interest with the Company's activities;
- a minor or an insolvent person, or a person for whom a guardian has been appointed or a person on whom a prohibition of trading as referred to in chapter 8(11) of the Swedish Companies Act (SFS 2005: 551).
- Additional assets of a candidate for a Member of the Board will include:
- English language skills evidenced by an appropriate certificate or diploma of study abroad;
- knowledge of the industry in which the Company operates;
- knowledge of the PGE Polska Grupa Energetyczna S.A. group.
- Each candidate shall submit an application, including his or her first name(s) and surname together with mailing address, contact telephone number, e-mail address. The applications must be accompanied by the following documents and declarations:
- a letter of motivation, including a curriculum vitae describing the applicant's professional experience and achievements to date;
- a diploma confirming higher education;
- documentary evidence of the candidate's professional experience (including length of service) and additional qualifications of the candidate;
- a statement of fulfilment of the requirements for a candidate for Member of the Company's Board, a template of which is attached to this Notice;
- a declaration of consent to the processing of the applicant's personal data for the purposes of the qualification procedure, a template of which is attached to this Notice;
- The aforementioned documents should be attached in the form of originals, official copies or copies of the originals or official copies certified as true copies by the candidate. If copies of documents certified by the candidate are submitted, the candidate must present the originals or official copies at the latest at the time of the interview, under the pain of exclusion from further selection proceedings. In the case of documents drawn up in a foreign language, a translation into Polish by a sworn translator is required.
- Written applications for candidates should be submitted to PGE Polska Grupa Energetyczna S.A. Corporate Management Department, ul. Mysia 2, 00-496 Warsaw, on working days from 9.00 am to 3.00 pm. The deadline for receipt of the applications shall lapse on at 10:00 a.m. The applications can also be sent by courier or registered post to: 00-496 Warszawa, ul. Mysia 2. The Application should be submitted in one closed envelope with a note: "Qualification procedure for a Member of the Board of Directors of PGE Sweden AB". For electronic submissions of candidates, the applications should be sent to the following email address: daniel.malicki@gkpge.pl i michal.zalewski@gkpge.pl (the date and time of receipt will determine the date of submission).
- Information about the Company will be made available, at the applicant's request, for personal inspection at PGE Polska Grupa Energetyczna S.A., ul. Mysia 2, (00-496) Warsaw. Requests for access to documents can be submitted from the date of publication of the notice until September 17, 2025 at the following email address: michal.zalewski@gkpge.pl. The candidate will be informed of the place and time at which the documents will be made available by telephone or by e-mail to the e-mail address provided in the application.
- The applications that are submitted after the closing date for submission of the applications as set out in paragraph VI above, or the applications that do not meet the requirements set out in the notice will not be considered and the candidates will not be considered for further selection. The candidates who have been shortlisted will be notified by telephone or e-mail to the e-mail address provided in their application.
- The interviews will take place from September 19,2025 at a location or in a form to be determined by the Selection Committee. Candidates will be notified of the time and place of the interview by telephone and email to the email address indicated in their application. The Selection Committee interviews selected candidates and is not obliged to interview all candidates.
- During the interview process, the candidates will be assessed in the following areas:
- knowledge of issues relating to the management and leadership of teams of employees;
- knowledge of Swedish law as regards the operation of commercial companies;
- knowledge of the industry in which the Company operates.
- Each candidate has the right to withdraw at any stage of the qualification procedure. The withdrawal shall take place by written declaration.
- Upon termination of the selection procedure, each candidate will be informed of the outcome. The notifications will be made by telephone or email to the email address indicated in the application.
- The right to terminate the recruitment process at any time, without giving reasons and without selecting a candidate is reserved, of which the candidates will be notified.
- The controller of personal data is PGE Sweden AB with its registered office in Stockholm. The personal data provided by the candidate will be processed in accordance with the provisions of Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data and repealing Directive 95/46/EC (General Data Protection Regulation) (hereinafter the "GDPR") for the purpose of conducting and adjudicating the selection procedure for the position of a Member of the Board. The full content of the information obligation pursuant to Article 13(1)-(2) of the GDPR will be indicated to the candidates in the declaration attached to the notice of competition.
- At the end of the selection procedure, the candidates who have not been selected as a result of the procedure may collect their applications up to 2 months after the announcement of the result of the qualification procedure. The applications not received by the aforementioned deadline will be destroyed.
